Japan Pulp & Paper Co., Ltd. (Head Office: Tokyo; Representative Director, President & CEO: Akihiko Watanabe; hereinafter “the company”) hereby announces that its consolidated subsidiary, Premier Paper Group Limited (Head Office: Birmingham, United Kingdom; hereinafter “Premier”), has completed the acquisition of all shares of Halyard Holdings Ltd (Head Office: Southampton, United Kingdom; hereinafter “Halyard”), the sole shareholder of Transpack Limited (hereinafter “Transpack”), a specialist distributor of packaging products, on April 1, 2026.

Under Medium-term Business Plan 2026, the company’s Non-Japan Wholesaling segment aims to strengthen sales of high value-added products — such as packaging materials — through complementary M&A that leverages existing sales networks and business foundations. This share acquisition is aligned with that strategic direction.
Transpack is a wholesaler of packaging-related products that Premier has been actively working to strengthen, such as bags and boxes made from paper and plastic. Furthermore, its product lineup does not significantly overlap with that of Premier, and because it has a broad customer base, which includes universities, hospitals, and cosmetics and food wholesalers, we expect that both Premier and Transpack will be able to expand their sales opportunities through cross-selling going forward.
By integrating Transpack into its operations, Premier will further strengthen its position in the packaging sector and contribute to the long-term, sustainable growth of the Japan Pulp & Paper Group.
